Overview

Johannes “Lowell” Cloete is the founder of Ubi Cras Stop Loss (UC//SL). With 35+ years of experience in M&A, underwriting analytics, and value creation, he is a proven builder of financial service platforms. Throughout his career, Lowell has developed a rare combination of investor, operator, and transaction expertise. He has executed 30+ M&A transactions and has been a core leader across multiple private equity–backed platform lifecycles, consistently partnering with sponsors, reinsurers, lenders, and executive teams to build, scale, and exit successfully.

Lowell has operated as a CFO and senior executive inside multiple PE-backed environments. As co-founder of ELMC Risk Solutions, he was a core team member in raising capital, partnering with JC Flowers, and driving acquisition strategy, integration, and enterprise buildout. As CFO and EVP, he was responsible for finance, M&A, compliance, HR, and technology, helping transform the business into a scalable platform and deliver multiple successful exits. Lowell later worked alongside Stone Point Capital to build ClearPoint Health’s captive platform from the ground up.

Earlier in his career, Lowell was CFO for T&H Group where he led M&A strategy, capital structure, and a strategic exit to Alliant. Lowell also played a key role in restructuring, regulatory remediation, and transaction readiness at FOJP/Hospitals Insurance Company. His work with FOJP concluded with a successful exit. Lowell also spent more than a decade at Deloitte, where he advised leading private equity firms and strategic buyers on complex transactions, building deep credibility in financial diligence, deal structuring, and integration planning across global markets.

Besides serving in enterprise leadership roles, Lowell has also served as an independent consultant and advisor. In these capacities, notable outcomes achieved include advising on the successful sale of two businesses and the closing of multiple debt and equity raises.

Across each role, Lowell has been a hands-on builder, not just an advisor, designing the financial, operational, and underwriting infrastructure required to make businesses investable, scalable, and ultimately valuable to strategic acquirers and capital providers. Ubi Cras represents the continuation of that track record. The platform is designed to align reinsurers, TPAs, benefit advisors, and capital partners through disciplined underwriting, modern data infrastructure, and structurally advantaged risk-sharing models that address inefficiencies in today’s insurance and stop-loss markets.
